1. Introduction

Welcome to AyuGram Web ("Service", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our web-based messaging client interface. By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

AyuGram Web is an independent third-party client interface that provides access to Telegram's messaging platform. We are not affiliated with, endorsed by, or officially connected to Telegram Messenger Inc. or any of its subsidiaries or affiliates. The official Telegram trademark and any related logos are registered trademarks of Telegram Messenger Inc.

2. Eligibility

By using our Service, you represent and warrant that you are at least 16 years of age, or the age of majority in your jurisdiction, whichever is greater. If you are under the age of 16, you may not use our Service under any circumstances. Users between 16 and 18 years of age may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms.

You further represent that you are not barred from using the Service under any applicable laws and that you have not been previously suspended or removed from the Service. You agree that you are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms.

3. Account and Registration

To use certain features of the Service, you must authenticate using your existing Telegram account credentials. You are solely responsible for maintaining the confidentiality of your account information, including your phone number and any authentication codes received via SMS or Telegram itself.

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation. You are responsible for all activities that occur under your account, whether or not you have authorized such activities.

We reserve the right to disable any user account at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

4. Acceptable Use Policy

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. You may not use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service.

You specifically agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law
  • Violate or encourage others to violate the rights of third parties, including intellectual property rights
  • Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem objectionable
  • Interfere with security-related features of the Service
  • Intentionally interfere with or damage the operation of the Service or any user's enjoyment of it
  • Use any robot, spider, crawler, scraper, or other automated means to access the Service
  • Attempt to circumvent any content-filtering techniques we employ
  • Attempt to access any service or area of the Service that you are not authorized to access
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Use the Service to send spam, chain letters, or other unsolicited communications
  • Harvest or collect email addresses or other contact information from other users

5. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of AyuGram and its licensors. The Service is protected by copyright, trademark, and other laws of both the jurisdiction in which we operate and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AyuGram.

You retain all rights to any content you submit, post, or display on or through the Service. By submitting, posting, or displaying content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.

6. Third-Party Services

The Service provides an interface to Telegram's messaging platform. Your use of Telegram through our Service is also subject to Telegram's own Terms of Service and Privacy Policy. We are not responsible for the practices, policies, or content of Telegram or any other third-party services.

The Service may contain links to third-party websites or services that are not owned or controlled by AyuGram. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location; that any errors or defects will be corrected; that the Service is free of viruses or other harmful components; or that the results of using the Service will meet your requirements.

Some jurisdictions do not allow the exclusion of certain warranties. Accordingly, some of the above exclusions may not apply to you.

8. Limitation of Liability

IN NO EVENT SHALL AYUGRAM, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

In no event shall our total liability to you for all damages, losses, or causes of action exceed the amount you have paid us in the last six months, or, if greater, one hundred dollars ($100).

9. Indemnification

You agree to defend, indemnify, and hold harmless AyuGram and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

  • Your use and access of the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your content caused damage to a third party

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the European Union and applicable international law, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
